Principle, primarily, refers the fundamental and long term belief or concept that influences and tailors respective people’s or organization’s decisions and actions in a productive and ethical manner. So, more often, it is used to set-up rules, guidelines, and standards that keep individuals or organizations on a right path and can make responsible and ethical decisions.

By following the same concept, now we can say that the “principles of corporate governance” refers fundamental rules, guidelines, standards, and values that reinforce the effective and responsible management and subsequent productivity of the respective company.   • Fairness − Fairness refers equitable treatment with all stakeholders, employees, customers, distributors, suppliers, and any other people related to the company in some or other way. Likewise, fairness ensures that every action and behavior is made without discrimination or favoritisms.

  • Freedom and Integrity − Freedom and integrity are one of the most essential principles of the corporate governance, which refer that people working at top level (such as directors, CEO), people working at middle level (such as managers, team leaders), and people working at bottom level (workers and employees), all have enough freedom to make their decision or share their ideas independently without any (undue) influence by anyone. For the success of a company, integrity and honesty in decision-making and adherence to ethical standards are imperative.

  • Risk Management − As per the circumstance or for any unseen mishappening, management needs to identify, assess, and mitigate risks that could potentially impact the company’s productivity, financial stability, and reputation.

  • Legal and Regulatory Compliance − All companies, organizations, and firms are bound to adhere to relevant laws, regulations, and industry-specific standards. Adherence with the rules and regulatory compliance, helps them to protect from legal issues and penalties.

  • Disclosure and Reporting − Time-to-time, companies should maintain clear and regular communication with stakeholders and time-to-time provide financial report, productivity report, sustainability reports, or any such other disclosures.

  • Corporate Social Responsibility − With the demand of situation, in the present world, corporate social responsibility is one of the most essential principles that every company needs to follow. The company having such principles and characteristics is able to maintain the balance between the government’s policy and functioning and society’s welfare and development without losing its productivity, growth, and income.
